Certification Platform Terms

These Certification Platform Terms (“Terms”) govern your access to and use of Protex AI’s certification platform, training materials, educational content, assessments, and related services (collectively, the “Platform”).

The Platform is made available by Protex AI Limited, 20 Harcourt Street, Dublin 2, D02 H364, Ireland (“Protex AI”, “we”, “our”, or “us”) using third-party learning management system infrastructure and related service providers.
By accessing or using the Platform, you agree to these Terms. If you do not agree, please do not access or use the Platform.

Important Notice

The Platform and all content are provided for educational and informational purposes only.
Nothing on the Platform constitutes:
 - legal advice;
 - regulatory advice;
 - compliance advice;
 - workplace safety certification recognised by any regulatory authority; 
 - engineering advice; or
 - professional consulting services.

You remain solely responsible for evaluating and implementing any workplace safety, operational, or compliance measures within your organisation.

1. Purposes of the Platform

The Platform provides educational and informational training content relating to workplace safety, AI technologies, EHS practices, operational risk management, and related subject areas.

2. Eligibility and Accounts

You may only use the Platform for lawful business or educational purposes and in compliance with these Terms and applicable laws.

The Platform is intended for individuals aged 18 or over.

You are responsible for:
 - maintaining the confidentiality of your account credentials;
 - all activities occurring under your account; and
 - ensuring that information you provide is accurate and up to date.

You must not:
 - impersonate another person or misrepresent your identity or affiliation;
 - create accounts using false information;
 - share your account credentials with any other person or allow any other person to access the Platform using your account; or
 - access the Platform through automated means except as expressly authorised by Protex AI.

3. Certification and Assessments

Completion of a course or assessment may result in the issuance of a certificate of completion or similar recognition (“Credential”).

Unless expressly stated otherwise by Protex AI:
 - Credentials issued through the Platform do not constitute professional licensing, accreditation, or regulatory approval;
 - Credentials do not guarantee competency, compliance, or employment qualification; and
 - Protex AI may modify certification requirements, assessments, scoring methodologies, or course content at any time.

You may reference, share, and display your Credential on your professional profile, CV, LinkedIn profile, and in professional contexts, provided any such reference is accurate and does not overstate the nature or scope of the Credential.

Protex AI reserves the right to suspend, revoke, or refuse certification where:
 - fraudulent activity is suspected;
 - assessments are manipulated or completed other than personally and honestly;
 - these Terms are violated;
 - the Credential is used in a manner that is misleading, inaccurate, or reasonably likely to damage Protex AI’s reputation or goodwill; or
 - continued certification would reasonably risk harm to the integrity of the Program or Platform.

Where access is terminated for reasons other than a breach of these Terms, Protex AI will use reasonable efforts to provide you with a copy of your certificate or completion record prior to termination.

4. Intellectual Property Rights

The Platform and all associated content (including videos, recordings, training materials, certification frameworks, assessments, graphics, branding, text, documentation, and software) are owned by or licensed to Protex AI and are protected by intellectual property laws. All rights are reserved.

Except as expressly permitted by these Terms, you may not:
 - copy;
 - reproduce;
 - distribute;
 - publish;
 - modify;
 - create derivative works from;
 - publicly display;
 - commercially exploit; or
 - otherwise use
any Platform content without Protex AI’s prior written consent.

You may access and use the Platform solely for your own internal educational and professional development purposes.

Any feedback, suggestions, ideas, or assessment responses you submit through the Platform may be used by Protex AI on a worldwide, perpetual, irrevocable, royalty-free basis to operate, improve, develop, and promote the Platform and related services. You retain ownership of any pre-existing materials you submit.

The Protex AI name, logo, and associated branding are trademarks of Protex AI Limited. Nothing in these Terms grants you any right to use them without our prior written consent.

5. Acceptable Use

You agree not to:
- use the Platform unlawfully or in violation of applicable regulations;
- interfere with or disrupt Platform operations or infrastructure;
- attempt to gain unauthorised access to systems, accounts, or data;
- reverse engineer or attempt to extract source code from the Platform;
- upload malicious code, harmful materials, or content that infringes third-party rights;
- share your account credentials with any other person or allow any other person to access the Platform using your account;
- use the Platform or Platform content to create, commercialise, or distribute competing training or certification materials that substantially reproduce or are derived from the Platform content; or
- engage in any conduct that could damage Protex AI’s reputation or goodwill.

6. Third-Party Contributors

Certain courses or programs may feature third-party subject matter experts, guest contributors, or collaborators (“Contributors”).

The inclusion of a Contributor on the Platform does not constitute an endorsement by Protex AI of their wider services, products, business activities, or professional opinions.

Protex AI is not responsible for any representations made by Contributors outside of the Platform or in their independent professional capacity.

7. AI and Educational Content Disclaimer

Certain Platform materials may discuss or demonstrate AI-enabled technologies, workflows, analytics, or automation systems.

AI-generated or AI-assisted outputs may contain inaccuracies, omissions, or incomplete information and should not be relied upon without appropriate human review and independent professional judgment.

References to regulatory frameworks, industry standards, or safety practices are general in nature and may not reflect all legal or operational requirements applicable to your organisation or jurisdiction.

8. Privacy and Cookies

Protex AI processes personal data in accordance with the Protex AI Privacy Notice, available at https://www.protex.ai/legal/privacy. Please read it carefully. it explains what data we collect, how we use it, and your rights.

The Platform is hosted using third-party learning management system infrastructure provided by LearnWorlds and related service providers engaged by Protex AI.

At various points in your learning journey (including in post-completion communications) you may be given the option to receive communications from Protex AI or to connect directly with named Contributors. These options are entirely voluntary and independent of your enrolment and certification.

Where you independently choose to connect with a named Contributor, that Contributor will act as an independent data controller in respect of any data you share with them directly, and their own privacy notice will apply.

9. Third-Party Services and Links

The Platform may contain links to third-party websites, tools, services, or resources.

Protex AI does not control and is not responsible for:
- third-party content;
- external websites;third-party privacy practices; or
- third-party services.

Your interactions with third parties are solely between you and the applicable third party.

10. Availability and Changes

Protex AI may modify, suspend, discontinue, update, or remove all or any part of the Platform or any certification content at any time and, where reasonably practicable, with prior notice.

Protex AI shall not be liable to you as a result of any such change.

Where a course you have enrolled in is materially changed or retired, we will use reasonable efforts to notify registered users by email in advance.

Platform availability may depend on third-party infrastructure and service providers used by Protex AI.

We do not guarantee that the Platform will always be available, uninterrupted, secure, or error-free.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and all content are provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise.

Protex AI disclaims all implied warranties, including implied warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement; and
- accuracy.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Protex AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, loss of business opportunity, loss of data, or business interruption, arising out of or relating to your use of the Platform.

To the fullest extent permitted by applicable law, Protex AI’s total aggregate liability to you arising out of or relating to the Platform or these Terms shall not exceed USD $100.

This reflects the fact that the Platform is provided free of charge and that no fees are paid by you in connection with your use of the Platform.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or liability for fraud or fraudulent misrepresentation.

13. Termination and Suspension

Protex AI may suspend or terminate your access to the Platform at any time where:

- you violate these Terms;
- your use presents a security or legal risk; or
- continued access would adversely affect the Platform or other users.

Where access is terminated for reasons other than a breach of these Terms, Protex AI will use reasonable efforts to provide you with a copy of your certificate or completion record prior to termination.

14. Changes to These Terms

Protex AI may update these Terms from time to time.

Updated versions will be posted on the Platform with a revised “Last Updated” date.

Where changes are material, we will endeavour to notify registered users by email.

Your continued use of the Platform following notification of any changes constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of Ireland.

The courts of Ireland shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.

This does not affect any mandatory consumer protection rights you may have under the laws of your own country.

In the event of any dispute, we encourage you to contact us at legal@protex.ai in the first instance. We will use reasonable efforts to resolve any matter promptly and in good faith before formal proceedings are initiated.
